1. Who these terms cover

They apply to anyone who applies to, or takes part in, the Joomni theme builder programme ("you", "the builder"). You accept them when you submit a builder application, and again whenever a new version is issued. A builder account is the same Joomni account you use everywhere else — you may run a store and build themes at the same time.

2. Eligibility

• You must be at least 16 years old.
• You must have the legal right to license every element of what you submit.
• Applications are reviewed by a person. We may decline an application, and we do not have to give a reason beyond the written feedback provided.
• Being declined is not permanent. You may reapply at any time.

3. Sandbox stores

A sandbox is a real Joomni store provided free of charge for building and previewing themes. It is never billed and does not require a paid plan.

• One sandbox while your application is pending; five once you are approved.
• Sandboxes have no real checkout, no custom domain, and are not indexed by search engines.
• Sandboxes are for theme development only. Using one to run a live business, host unrelated content, or avoid subscription fees will end your participation.
• We may reset, suspend or delete a sandbox that is unused for an extended period, or that breaches these terms.

4. Ownership of your themes

You own your theme. Nothing here transfers copyright to Joomni.

You grant Joomni a worldwide, non-exclusive, royalty-free licence to host, reproduce, display, promote, distribute and — once paid themes are enabled — sell your theme through the Joomni theme store and related marketing surfaces. This licence exists so we can operate the marketplace; it does not let us sell your theme elsewhere or claim it as our own.

5. What a merchant gets

Installing a theme copies it into the merchant's own store. It is not a live link to your original.

• Changes you publish afterwards never alter a store that has already installed the theme.
• A merchant who has installed your theme keeps a perpetual licence to keep using and modifying that copy — including if you later unpublish it, leave the programme, or are removed from it. A merchant's business cannot be broken by a change of mind on your side.
• Merchants may not redistribute or resell your theme as a standalone product.

6. Originality

Everything you submit must be your own original work, or something you hold a licence permitting commercial redistribution. That includes layouts, copy, icons, illustrations, photographs and fonts. Submitting someone else's design, a template purchased elsewhere, or assets you do not have the right to redistribute is grounds for immediate removal and suspension. You are responsible for any third-party claim arising from what you submit.

7. What themes may contain

Your theme runs on other people's storefronts, in the same browser session as their customers' logins and payments. These limits are enforced automatically when you submit:

Permitted

• All built-in sections, and full control of colours, typography, spacing and layout
• Liquid sections for custom markup using store data
• Images uploaded to the Joomni media library

Not permitted

• Custom JavaScript, or any section that executes raw code
• Custom-coded header and footer sections
• Images or assets hot-linked from other websites
• Tracking, analytics or data collection of any kind embedded in the theme
• Content that is unlawful, deceptive, hateful, or infringing

8. Review and publication

• Submitting takes a fixed snapshot of your theme. Automated checks run immediately; a person then reviews design quality and originality.
• Target review time is five business days, or two at Verified tier.
• A rejection comes with written feedback. You may fix and resubmit as often as you like.
• Joomni is under no obligation to publish any theme, and may decline one that meets every technical requirement but is not a good fit for the catalogue.

9. Revenue share and payouts

• The builder receives 70% of the net sale price of each paid theme sale; Joomni retains 30%. Partner-tier builders may hold a separately negotiated rate.
• Paid themes are not yet enabled. While the catalogue is free, themes earn installs, ratings and reputation rather than money. Your revenue share applies from the day paid themes open, with no need to re-accept.
• Net sale price means the amount received after payment-processing fees, refunds, chargebacks and any taxes we are required to collect.
• Payouts require valid payout details and are subject to a minimum threshold and a clearing period announced when payouts launch.
• You are responsible for your own taxes on anything you earn.
• Merchants may be refunded under the platform refund policy; refunded sales are deducted from your balance.

10. Tiers

Builders start at Community. Verified requires three approved themes and no active policy strikes, and brings faster review and a profile badge. Partner is for agencies and studios and may carry a negotiated revenue share. Tier criteria may change; we will not lower a tier you already hold without notice and a reason.

11. Strikes, suspension and removal

• Policy breaches are recorded as strikes. Three strikes suspend a builder account.
• We may remove a published theme at any time if it breaches these terms, infringes a third party's rights, or presents a security or safety risk. Where possible we will tell you first.
• Removal from the catalogue does not withdraw the perpetual licence already held by merchants who installed it (section 5).
• You may unpublish your own themes at any time, with the same limitation.

12. Leaving the programme

You may leave at any time. Your themes are removed from the catalogue, your public profile is taken down, and any balance already earned is paid out at the next payout cycle subject to the minimum threshold. Sandboxes are deleted. Existing merchant installs are unaffected.

13. No employment relationship

Taking part in the programme does not make you an employee, agent or partner of Joomni. You decide what to build and when, and you are not guaranteed any income.

14. Changes to these terms

We may revise these terms. Material changes are issued as a new version and you will be asked to accept it before submitting further themes. Continuing to publish after a new version takes effect means you accept it.

15. Governing law

These terms are governed by the laws of Nepal, and disputes fall under the exclusive jurisdiction of the courts of Kathmandu, Nepal.
