1. Acceptance of Terms

By creating an account or using Joomni (joomni.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the platform. These Terms apply to all users including store owners, designers, and visitors to Joomni-powered stores.

2. Description of Service

Joomni is an AI-powered platform that enables users to build, manage, and scale online stores and websites. Features include AI-assisted store setup, HTML/CSS theme editing, content generation, product management, and integrations with payment gateways.

3. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must be at least 16 years old to create an account.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at [email protected] if you suspect unauthorized access.

4. Acceptable Use

You agree NOT to use Joomni to:

• Sell illegal, counterfeit, or prohibited goods or services
• Upload malicious code, viruses, or attempt to interfere with the platform's infrastructure
• Violate any intellectual property rights of third parties
• Engage in spamming, phishing, or deceptive marketing practices
• Impersonate another person or entity
• Resell or sublicense access to the Joomni platform without written permission

Joomni reserves the right to suspend or terminate accounts that violate these terms.

5. AI Features

Joomni's AI tools (store setup wizard, content generation, code suggestions) are provided as-is. Output generated by AI is not guaranteed to be accurate, complete, or legally compliant. You are solely responsible for reviewing and approving all AI-generated content before publishing it on your store. Do not input sensitive personal or confidential information into AI prompts.

6. Intellectual Property

Your content:

You retain ownership of all content, product data, images, and custom code you create on Joomni. By using the platform, you grant Joomni a limited, non-exclusive license to store, display, and process your content solely to provide the service.

Joomni's IP:

The Joomni platform, including its software, AI models, UI design, and branding, is owned by Joomni and protected by copyright and trademark law. You may not copy, reverse-engineer, or redistribute any part of the platform.

7. Payments and Subscriptions

• Paid plans are billed on a monthly or annual basis as selected at checkout.
• All fees are listed in NPR (Nepalese Rupees) or USD depending on your region and are non-refundable except where required by law.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.
• Failure to pay may result in downgrade to the free plan or suspension of your account.

8. Uptime and Service Availability

We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, or unforeseen technical issues may cause temporary downtime. We are not liable for losses resulting from service interruptions.

9. Third-Party Integrations

Joomni integrates with third-party services (payment gateways, shipping providers, analytics tools). Your use of these integrations is subject to those providers' own terms and privacy policies. Joomni is not responsible for the actions or failures of third-party services.

10. Limitation of Liability

To the maximum extent permitted by law, Joomni shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including but not limited to loss of revenue, data, or business opportunities. Our total liability to you shall not exceed the fees you paid to Joomni in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Joomni, its founders, employees, and partners from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your content, or your violation of these Terms.

12. Termination

You may delete your account at any time from your account settings. Joomni may suspend or terminate your account without notice if you breach these Terms. Upon termination, your store data will be retained for 30 days and then permanently deleted.

13. Governing Law

These Terms are governed by the laws of Nepal. Any disputes shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of Joomni after changes take effect constitutes acceptance of the revised Terms.
